Paul Hastings is seeking an Experienced UCC Attorney to join the Global Finance team in New York. Ideal candidates will have with a deep understanding of Article 9 and at least 10 years of relevant legal experience. This position will work on UCC issues to include: * Advising on all matters relating to the UCC and commercial finance, including the structuring of transactions. * Reviewing transactional documents. * Focusing on collateral and intercreditor issues in a broad range of financing transactions, including syndicated loan facilities, bridge financings, asset-based credit facilities, notes offerings, mezzanine loans and fund financings. * Advising on collateral matters with respect to personal property governed by Article 9 of the Uniform Commercial Code as well as personal property subject to other statutes. * Advising debtors and lenders in restructurings and insolvency proceedings. * Advising on third-party opinion letters and contract law matters, especially online contracting, plain English drafting, contract drafting, and boilerplate. This is a billable role with a reduced hours expectation of 1600 hours/year. Outstanding academic credentials and law firm experience are required. Candidates must be admitted to practice and be in good standing in the jurisdiction to which they are applying. Please submit a cover letter, resume, and law school transcript. The salary wage range that we expect to pay for this position is a minimum of $348,000 and a maximum of $400,000 (annually). The actual pay wage may vary based on experience or other relevant factors.
