BAYCOAST BANK POSITION DESCRIPTION POSITION TITLE: VP/Regulatory Risk Officer DEPARTMENT: RISK MANAGEMENT & COMPLIANCE FUNCTION: Under the general direction of the SVP - General Counsel, the VP/Regulatory Risk Officer is responsible for evaluating the effects of proposed legislative initiatives and regulatory pronouncements on Bank policies. Prepares position papers in response to requests for public comment on proposed regulatory changes. Provides research, insight, evaluation, and guidance, and analyzes and prepares position statements on various strategic initiatives. Gathers and analyzes data to support the Bank's enterprise risk position and Risk Appetite Statement. Collaborates on non-fraud related legal matters, including, without limitation, contract reviews, research, review of internal documentation, review of customer-related documentation, and collaborating on a variety of risk management, vendor management, and compliance work. Provides input on general regulatory and risk matters and assists in the preparation of Board presentation materials as required or as needed. RESPONSIBILITIES:
- Maintains complete confidentiality of information obtained.
- Embraces the Bank's credo.
- Reviews and evaluates regulatory and legislative pronouncements to determine the benefits and impact of any changes that may occur. Collaborates with key stakeholders and prepares position statements in response to requests for public comment on proposed regulatory changes as requested.
- Develops and maintains proficient knowledge of banking laws, regulations, and judicial changes in banking as well as industry trends, professional technical requirements, and professional practice standards as they relate to risk management through professional development resources.
- Reviews various banking regulations and laws and collaborates as needed to ensure banking best practices.
- Gathers and reports on both quantitative and qualitative data to support the Bank's Enterprise Risk Management (ERM) Program and Risk Appetite Statement.
- Gathers data and reports on emerging risks within the industry that have the potential to impact the Bank, noting the key risk areas as identified in the Bank's Risk Appetite Statement.
- Reviews a variety of contracts under the guidance of the SVP/General Counsel in collaboration with key stakeholders and third parties, including vendors, with an understanding of vendor management regulations and contract best practices, as requested by supervisor and/or Senior Management.
- Creates and maintains contract templates and playbooks to develop structure and consistency throughout the vendor management, regulatory, and legal processes, as needed.
- Oversees organizational contract development and management activities and promotes organizational principles of integrity and contract compliance.
- Collaborates with business unit owners and other key stakeholders to present and ensure that complex concepts, such as contractual and other regulatory obligations, are understandable and align with business strategies and initiatives.
- Advises key stakeholders in a business mindset manner in context of risk issues as they arise and in new projects, customer, and transaction matters to allow management to manage issues directly.
- Conducts and coordinates financial, product, market, operational and/or other related research to support strategic and business planning within the various departments and programs of the Bank and its subsidiaries as needed or as required.
- Participates in vendor, products, services, and contract strategy meetings to identify issues, business needs, customer needs/requirements, input regarding pricing discussions, and obtains input on timelines and deliverables to optimize the benefits to the Bank and its subsidiaries.
- Works with various business units on various projects to assist in the development of frameworks, programs, and related policies to align with business initiatives and strategies as needed.
- Manages and mitigates risks by drafting and reviewing various policy documentation and procedures as needed.
- Provides input, guidance, and support with respect to vendor management, compliance, and risk related matters, including business best practices and procedures, working closely and collaboratively with all key stakeholders of the Bank and its subsidiaries.
- Performs other duties as requested by supervisor.
KNOWLEDGE/SKILLS/EXPERIENCE REQUIREMENTS: A minimum of 5 years of related experience in the financial industry, including experience in reviewing and analyzing regulatory and legislative pronouncements. Bachelor's degree in relevant financial services subject matter related discipline; juris doctor degree preferred. Experience in financial services, including in-depth knowledge of economic and banking principles. Strong knowledge of risk management practices and assessment techniques. Expert knowledge of Microsoft Office suite. Must be proficient in navigating the Internet to obtain relevant information. Should have strong analytical and communication skills to analyze data from different perspectives and written and oral reports and public statements to see how policies and initiatives would affect the Bank and its subsidiaries. Must possess strong interpersonal skills and be able to work with all areas of the organization. EQUIPMENT USED: General office equipment.
